CRC Services — Full Service Agreement

1. Parties & Background

This Agreement is between CRC Services, a company organized under the laws of New York with its principal place of business in Scipio Center, NY ("Service Provider"), and the Client identified above ("Client"). CRC Services provides trash and junk removal, estate clean out, and landscape material delivery services to residential and commercial clients.

2. Definitions

Business Day — any day that is not a Saturday, Sunday, or federal holiday recognized in New York. Debris — discarded materials and refuse, excluding Hazardous Materials. Hazardous Materials — any substance regulated under federal, state, or local environmental law, including asbestos, lead paint, chemicals, petroleum products, medical waste, or radioactive materials. Junk — unwanted household items, furniture, appliances, electronics, and construction debris. Landscape Materials — soil, mulch, gravel, sand, stone, compost, and similar materials. Premises — the real property at the service location provided by Client.

3. Scope of Services

Trash & Junk Removal: Collection, loading, transportation, and disposal of household and commercial trash, junk, furniture, appliances, electronics, yard waste, and other unwanted materials. Basic cleanup of collection areas included.

Landscape Material Delivery: Delivery and unloading of landscape materials at locations directed by Client, subject to vehicle access limitations.

Clean Out Services: Estate, attic, basement, garage, and foreclosure clean outs — full removal of furnishings, personal effects, and accumulated items.

Service Limitations: CRC Services will not remove Hazardous Materials, items prohibited by law, or items requiring special permits not held by Service Provider.

4. Ownership of Removed Materials

All trash, junk, debris, and other items removed from the Premises become the sole and exclusive property of CRC Services upon removal. Service Provider may dispose of, recycle, donate, or resell such materials at its sole discretion. Client waives all claims of ownership to any items once removed.

5. Client Acknowledgment — Retention of Items

Prior to any clean out service, Client must identify and remove — or clearly mark — all items they wish to retain. Any items remaining in the designated clean out area not clearly marked for retention will be deemed unwanted and authorized for removal. Failure to identify items prior to service constitutes a waiver of claims for removal of such items.

6. Discovery of Valuables, Documents & Sentimental Items

If CRC Services discovers valuables, important documents, or items of apparent sentimental value, Service Provider will set them aside and notify Client promptly. Client has seven (7) calendar days to collect such items. Items not collected within that period become the property of CRC Services.

7. Service Schedule & Timing

Services are provided on an as-needed basis during normal business hours: 7:00 AM–8:00 PM, Sunday through Saturday, unless otherwise agreed in writing. Client may request schedule changes with at least 1 Business Day written notice. Services may be postponed due to inclement weather or unsafe conditions.

8. Service Locations & Access

Client shall provide CRC Services with safe and reasonable access to the Premises during scheduled service windows. Client must ensure all access routes are clear for Service Provider vehicles and equipment. CRC Services reserves the right to refuse services if conditions are unsafe.

9. Fees & Payment Terms

Payment is due the day service is provided unless otherwise agreed in writing. Past due amounts accrue interest at 1.5% per month. Disputed charges must be reported in writing within 15 days of the invoice date. Services may be suspended if Client account is more than 30 days past due with 5 days written notice.

10. Insurance & Liability

CRC Services maintains comprehensive general liability insurance ($1,000,000 per occurrence / $2,000,000 aggregate), commercial automobile liability ($1,000,000 per occurrence), and workers compensation insurance as required by New York law. Service Provider total liability for any single occurrence shall not exceed total fees paid in the preceding 12 months.

11. Property Damage Disclaimer

While CRC Services takes every precaution to protect your property, Service Provider cannot be held liable for damage to driveways, lawns, flooring, walls, or other surfaces resulting from the nature of the work being performed. All damage claims must be submitted in writing within 24 hours of service completion.

12. Health, Safety & Environmental Compliance

CRC Services complies with all applicable OSHA standards and environmental laws. CRC Services will not handle Hazardous Materials and will immediately cease work and notify Client upon their discovery. All collected materials are disposed of at properly licensed facilities.

13. Photography

CRC Services may photograph the Premises before and after service for documentation and quality assurance. Photographs will only be used for marketing or promotional purposes with Client prior written consent.

14. Term & Termination

Either party may terminate this Agreement with 30 days written notice. Either party may terminate immediately if the other party materially breaches the Agreement and fails to cure within 10 days, or becomes insolvent or files for bankruptcy.

15. Force Majeure

Neither party is liable for failure or delay in performance due to a Force Majeure Event including acts of God, natural disasters, governmental actions, labor strikes, or public health emergencies. If a Force Majeure Event continues for more than 30 consecutive days, either party may terminate the Agreement without penalty.

16. Dispute Resolution

Disputes shall first be resolved through good faith negotiations within 30 days of written notice. If unresolved, the parties will proceed to mediation in New York County. If mediation fails within 60 days, disputes will be resolved by binding arbitration under the AAA Commercial Arbitration Rules in New York County. This Agreement is governed by the laws of the State of New York.

17. Privacy Policy

CRC Services collects Client information solely to communicate with Client and to administer invoices and service contracts. CRC Services does not sell, rent, or share Client personal information with third parties for marketing purposes. Client information may be disclosed if required by law.

18. General Provisions

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings. Amendments must be in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other. Electronic signatures have the same force and effect as original signatures.
